Terms of Use

1. Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of the Freezi application and the Freezi website.

Freezi is operated by the developer of Freezi ("the Operator," "we," "us," or "our").

Creating an account or using Freezi constitutes your agreement to these Terms.

If you do not agree to these Terms, you must not use Freezi.

2. Description of the Service

Freezi is a work and payment-tracking application designed to help freelancers and independent professionals manage clients, jobs, amounts, payment due dates, and payment statuses.

Freezi is a tool for managing and organizing information only.

Freezi:

• Does not process payments;
• Does not transfer money;
• Does not issue invoices or tax documents;
• And does not provide financial, accounting, legal, or tax advice.

You are solely responsible for managing your business, making decisions, and maintaining any business records required for your purposes.

3. Pricing and Paid Services

Freezi is currently available free of charge.

In the future, we may offer paid features, subscription plans, premium services, or other pricing models.

If and when paid services are offered, the relevant material terms will be presented to the user before payment is made, including, where applicable:

• The price;
• The billing period;
• Whether the payment is one-time or recurring;
• Any automatic-renewal terms;
• And how cancellation works, where relevant.

No charge for a paid service will be made unless the relevant material terms are presented to the user in advance and the user is given the opportunity to approve the purchase.

Where a purchase or subscription is made through Google Play, payment, billing, renewal, and cancellation may also be subject to Google Play's terms and systems.

4. User Account

To use certain features of Freezi, you must create a user account.

You are responsible for:

• Keeping your login credentials confidential;
• Being responsible for activity carried out through your account;
• Ensuring that your account information is accurate and up to date.

If you suspect unauthorized use of your account, you should notify us as soon as possible.

You must not share your user account with another person.

5. Permitted Use

You agree to use Freezi only for lawful purposes.

You must not use the service to:

• Violate any applicable law;
• Enter false, misleading, or fraudulent information;
• Attempt to gain unauthorized access to the service;
• Interfere with the operation or security of the service;
• Distribute malware or harmful content.

We reserve the right to suspend or delete accounts that violate these Terms.

6. User Content

Freezi does not acquire ownership of the information you enter into the service.

You grant Freezi only the permissions necessary to store, process, display, and secure the information as required to operate the service.

You are responsible for ensuring that you have the legal right to enter and process information relating to your clients or other third parties.

7. Intellectual Property

All intellectual-property rights relating to Freezi, including the software, design, graphics, logos, trademarks, text, and other content, belong exclusively to Freezi, the Operator, or the relevant licensors.

These Terms do not grant you any intellectual-property rights in Freezi.

8. Service Availability

We make reasonable efforts to maintain the availability and proper operation of Freezi.

However, we do not guarantee that the service will always be:

• Available;
• Uninterrupted;
• Secure;
• Or error-free.

Maintenance, updates, technical issues, third-party services, or circumstances beyond our control may temporarily affect the availability of the service.

Freezi may be distributed through Google Play. Availability of downloads, installation, and updates through Google Play may also be subject to the availability and terms of Google Play.

9. Limitation of Liability

Freezi is provided on an "AS IS" and availability basis.

To the maximum extent permitted by applicable law:

• We make no warranties regarding the service;
• We are not liable for indirect, incidental, special, or consequential damages;
• We are not liable for loss of revenue, profits, data, or business losses arising from the use of the service.

You are responsible for verifying the accuracy of information stored in Freezi and for keeping any business records you require.

Nothing in these Terms limits any rights that cannot be waived under applicable law.

10. Privacy

Your use of Freezi is also subject to our Privacy Policy.

You should review the Privacy Policy to understand how we collect, use, store, and protect your information.

11. Termination of Use and Account Deletion

You may stop using Freezi at any time.

You may delete your account through the Settings screen in the App or through the account-deletion page on the Freezi website.

Deleting the App from your device does not, by itself, delete your user account.

We may suspend or terminate access to the service if:

• You violate these Terms;
• Your use creates a security risk;
• We are required to do so by law;
• It is reasonably necessary to protect Freezi or other users.

12. Changes to the Service

We may modify, improve, suspend, or discontinue all or part of the service at any time.

Where reasonably practical, we will provide advance notice of material changes that significantly affect users.

Updates to the Android version of Freezi may be distributed through Google Play.

13. Changes to These Terms

We may update these Terms from time to time.

Each new version will be published with a new version number and last-updated date.

If a change is material, we will provide additional notice where required or where reasonably practical.

Continued use of Freezi after the updated Terms take effect constitutes acceptance of the updated Terms.

14. Third-Party Services

Freezi may rely on third-party services or platforms for its operation, including infrastructure, authentication, and app distribution services.

When you use a third-party service, such as Google or Google Play, your use of that service may also be subject to that third party's own terms and policies.

Freezi is not responsible for the availability, terms, or operation of third-party services that are outside our control.

16. Governing Law

These Terms of Use are governed by the laws of the State of Israel.

Any dispute arising from these Terms or from the use of Freezi will be subject to the jurisdiction of the competent courts in Israel, subject to any mandatory provisions of applicable law that cannot be waived.
